To Tall Ship Models Inc

In consideration of the vendor (hereinafter referred to as "I" or "Vendor", name and address as noted on the form that is an integral part of this agreement and is located at http://www.tallshipmodels.com/listit.htm) listing and agreeing to offer the property (Tall Ship or other ship model) as noted on the aforementioned form, I hereby give you (Tall Ship Models Inc) the sole and exclusive authority, irrevocable for a term of 120 days from acceptance by Tall Ship Models Inc, to offer the said property for sale at the offering price as agreed to via e-mail between us and upon the terms particularly set out below.

I agree to provide complete and accurate information with regards to my personal data and with regards to the property being offered for sale.

Photos of all Tall Ship Models shall be of the highest possible quality and shall be provided to Tall Ship Models Inc in JPG format and sent via an e-mail attachment or via ordinary mail to the address as listed below.

Photographic Guidelines.

The method prefered is to use a tripod,lots of ambient light, and longer exposures with no flash. A minimum of four high quality photographs are required. Views required are of Bow, Stern, Side and deck closeup. We welcome and encourage additional detail shots Photos should be clear,free from shadows and glare from flash. A solid coloured background should be used, preferably blue or medium grey. JPG files should be sized around 8 X 10 and no more than 150K in size, we will edit them ourselves.If you send prints and would like them returned to you, please provide a stamped and self-addressed envelope.

There shall be a minimum fee of $55 US to size, format and post four large photos and one thumbnail size photos. This fee shall include a dedicated Web page with details of the model. Said fee is payable in advance once the listing is accepted by Tall Ship Models Inc.

Tall Ship Models Inc reserves the right to accept or reject the posting of any property if for any reason we are not reasonably satisfied as to the quality of the photos, the marketability of the property or for any other reason we so find, at our sole discretion.

It is a requirement that all buyer-seller transactions are made in escrow using the services of escrow.com which provides certain valuable benefits for both Vendor and Buyer, and the fee (not to exceed 5% of sale price) levied by escrow.com shall be paid by you, the Vendor, from the proceeds of the sale.

All funds will be collected "In Trust" by Tall Ship Models Inc as agent or by escrow.com. Funds shall be released when all escrow conditions are met as listed at escrow.com.

Tall Ship Models Inc will provide such services as it deems necessary to market the property via the Internet or any other services that may or may not be available to it. Upon successful completion (completion meaning that the purchaser has accepted shipment and funds have been cleared and collected via i-escrow or any other arranged terms of payment) of sale of the property Vendor agrees to pay to Tall Ship Models Inc a sum equal to 15% of the first $5000 of the sale price, 10% of the next $10,000 and 7.5% of the balance of subject property. This amount is to be deducted from the funds collected "In Trust" by Tall Ship Models for the Vendor.

This is an exclusive agreement and as such Tall Ship Models has the sole authority to market and sell the property and the Vendor hereby agrees that any prospective purchasers that may approach him or her directly shall be referred to Tall Ship Models Inc immediately.

This agreement shall be automatically renewed for a further term of sixty days upon the expiry of the original term, unless the vendor cancels it via e-mail or by registered mail delivered to the offices of Tall Ship Models Inc within 7 days of the expiry date of the original term.

The vendor agrees to hold Tall Ship Models harmless and without indemnity for the actions of any third party associated with any sale of the subject property.

I represent, warrant and acknowledge and agree with Tall Ship Models Inc that I am the legal owner of the property and/or have the right to enter into this agreement, and/or have the authority to offer the property for sale.

I have read and clearly understand this Agreement, and I acknowledge this date having received a copy of same.
